These Terms of Service ("Terms") govern your access to and use of the website at https://uncarte.com (the "Site") and the software products operated by Uncarte Inc. ("Uncarte", "we", "us" or "our"), including Babisy and WiseTiffin (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
You must be at least 18 years old and capable of forming a binding contract to use the Services. When you create an account, you agree to provide accurate, complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
You agree to use the Services only for lawful purposes. You will not:
Babisy is a platform that connects parents with babysitters. Uncarte does not employ babysitters and is not a party to the care arrangements formed between users. While we provide trust and safety features such as profile verification and reviews, users are responsible for exercising their own judgment when arranging or providing care, including confirming qualifications and suitability.
WiseTiffin provides operational software for food subscription businesses. Kitchens using WiseTiffin remain solely responsible for food preparation, safety, licensing and regulatory compliance, and for the accuracy of the information they provide to their customers through the platform.
Certain features of the Services are offered on a subscription basis. Prices, billing cycles and included features are presented at the time of purchase. Payments are processed by third-party payment providers (such as Stripe); by subscribing, you also agree to the applicable payment provider's terms. Unless otherwise stated, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law.
You retain ownership of the content you submit to the Services, such as profile information, messages and reviews. By submitting content, you grant Uncarte a worldwide, non-exclusive, royalty-free licence to host, display and process that content as needed to operate and improve the Services. You are responsible for the content you submit and must have the rights necessary to share it.
The Services, including software, design, text, graphics and logos, are owned by Uncarte or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute or create derivative works of any part of the Services.
The Services may link to or integrate with third-party websites and services. We are not responsible for the content or practices of third parties, and your use of their services is governed by their own terms and policies.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Uncarte disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or completely secure.
To the maximum extent permitted by law, Uncarte and its directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the greater of (a) the amounts you paid to Uncarte in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
You agree to indemnify and hold harmless Uncarte from any claims, liabilities, damages and expenses (including reasonable legal fees) arising from your use of the Services, your content or your violation of these Terms.
You may stop using the Services or delete your account at any time. We may suspend or terminate your access to the Services if you violate these Terms or if necessary to protect the Services or other users. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — will survive.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Ontario, Canada.
We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date. If changes are material, we will provide reasonable notice through the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
